These Terms of Service (“Terms”) govern your access to and use of the Meridian platform. By using the platform — as a shopper or as a vendor — you agree to these Terms. If you do not agree, do not use the platform.
1.Acceptance of these Terms
By creating an account, accessing, or using the platform, you confirm that you accept these Terms and our Privacy Policy, and that you have the legal capacity to enter into this agreement. If you use the platform on behalf of an organisation, you represent that you are authorised to bind that organisation.
2.Definitions
- Platform — the Meridian websites, storefronts, dashboards, APIs, and related services operated at meridian.mn and its subdomains and connected custom domains.
- Vendor — an independent merchant that operates a storefront and sells products through the platform.
- Shopper — a person who browses or purchases products from a vendor’s store.
- Content — text, images, listings, messages, and other materials submitted to or made available through the platform.
3.The platform & our role
Meridian provides hosted storefronts and the surrounding commerce infrastructure. Each vendor controls its own product listings, prices, inventory, descriptions, and store policies (including returns, exchanges, and warranties). Unless expressly stated, Meridian is not a party to the sale between a shopper and a vendor and is not responsible for the products sold, their quality, legality, or fitness for purpose.
We may modify, suspend, or discontinue any part of the platform at any time. We aim to keep the platform available but do not guarantee uninterrupted or error-free operation.
4.Accounts & eligibility
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@meridian.mn of any unauthorised use. Vendor accounts may be subject to verification before activation.
5.Shopper terms
- Prices, availability, and product information are set by the vendor and may change.
- Placing an order is an offer to purchase from the vendor; the order is confirmed when the vendor or the platform accepts it and payment is verified.
- Delivery is arranged through our logistics partner; timelines are estimates, not guarantees.
- Returns, refunds, exchanges, and warranties are governed by the relevant vendor’s store policies and applicable consumer-protection law. Direct such requests to the vendor in the first instance.
6.Vendor terms
If you operate a store, you additionally agree that you will:
- Sell only products you are legally permitted to sell, and not list prohibited, counterfeit, unsafe, or illegal goods.
- Provide accurate listings, pricing, and fulfilment, and honour your stated store policies.
- Comply with all applicable laws, including Mongolian tax, fiscal-receipt (eBarimt), consumer- protection, and e-commerce requirements.
- Be solely responsible for your relationship with your customers and for your own handling of their personal data as an independent controller, consistent with our Privacy Policy.
- Hold all rights necessary to the Content you upload and grant Meridian a licence to host and display it as needed to operate your store.
You are responsible for any fees, taxes, and chargebacks arising from your sales. Meridian may set reasonable platform policies and operational limits that vendors must follow.
7.Payments & fiscal receipts
Payments are processed through QPay and by bank transfer. By paying, you authorise the relevant payment provider to process the transaction. For each qualifying purchase, an electronic fiscal receipt is registered through Mongolia’s eBarimt system as required by law. Meridian and its providers are not responsible for delays or failures caused by a payment provider, bank, or government system outside our reasonable control.
8.AI features
The platform offers AI-assisted chat for shoppers and vendors. AI responses are generated automatically, may be inaccurate or incomplete, and do not constitute professional, legal, financial, or medical advice. Do not rely on AI output as your sole basis for a decision, and verify important information independently. Your use of these features is described in our Privacy Policy.
9.Acceptable use
You agree not to:
- Break the law or infringe others’ rights through your use of the platform.
- Upload malware, attempt to gain unauthorised access, or disrupt or overload the platform.
- Scrape, harvest, or systematically extract data except through interfaces we provide.
- Misrepresent your identity, impersonate others, or engage in fraud.
- Circumvent security, rate limits, or tenant data-isolation controls.
10.Intellectual property
The platform, including its software, design, and the “Meridian” name and logo, is owned by Meridian or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform as permitted by these Terms. Vendors and shoppers retain ownership of the Content they submit, subject to the licences granted here.
11.Third-party services
The platform integrates third-party services — including payment, logistics, fiscal, messaging, cloud, and AI providers. Your use of those features may be subject to the third party’s own terms, and we are not responsible for third-party services we do not control.
12.Disclaimers
The platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the platform will be uninterrupted, secure, or error-free, or that products sold by vendors meet your expectations.
13.Limitation of liability
To the fullest extent permitted by law, Meridian and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the platform. To the extent we are found liable, our total aggregate liability is limited to the greater of the amount you paid to Meridian in the three months before the event giving rise to the claim, or [cap amount].
14.Indemnification
You agree to indemnify and hold harmless Meridian from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your Content, your products (if you are a vendor), or your breach of these Terms or of applicable law.
15.Suspension & termination
You may stop using the platform at any time. We may suspend or terminate your access — and a vendor’s store may be moved to a suspended state — if you breach these Terms, create risk or legal exposure, or for prolonged inactivity. We will give reasonable notice where practicable. Provisions that by their nature should survive termination (including IP, disclaimers, liability limits, and indemnity) will survive.
16.Governing law & disputes
These Terms are governed by the laws of Mongolia, without regard to conflict-of-laws rules. The courts of Mongolia will have jurisdiction over any dispute arising from these Terms or your use of the platform, subject to any mandatory consumer-protection rights you have under applicable law.
17.Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the platform after changes take effect means you accept the updated Terms.
